Personnel Corporate Organization The Rodman Energy Group (“Rodman Energy”) is a sector vertical within Rodman & Renshaw, LLC (“Rodman & Renshaw”, member FINRA/SIPC), a full-service investment bank that has focused on providing investment banking services to companies that have significant recurring capital needs due to their growth and development strategies. Since 2003, Rodman & Renshaw has been a leader in the PIPE (private investment in public equity) transaction market, having been ranked by Sagient Research Systems, Inc. as the #1 Placement Agent among full-service investment banks for PIPE financing arrangements for five of the past six years. Rodman & Renshaw is, itself, a wholly owned subsidiary of Rodman & Renshaw Capital Group, Inc. (“R&R Capital”) (Nasdaq: RODM). Since going public in mid-2007, R&R Capital through acquisition or strategic hiring has added outstanding talent and execution capabilities in Steel, Mining, and Metals; SPACS and IPOs; High Net Worth placements; and work-outs, in addition to Energy Analysis in support of its purchase of COSCO Capital management LLC. Location and Background of Personnel Rodman Energy’s offices are located in New York, Hartford, Houston, and Calgary. The majority of Rodman Energy’s team, before joining Rodman & Renshaw or its predecessor, COSCO, had careers within the energy business. Two of Rodman’s four Managing Directors, in fact, have Masters Degrees in geology, and a third worked in the treasury group for both E&P and Service companies in Houston. The fourth, while not from the energy industry, as a principal or agent completed almost fifty mergers or acquisitions. Rodman Energy, therefore, considers itself to have unusual capacity to understand the energy business and assess management strengths and business plans. As a consequence, it believes it is particularly well suited to source attractive investment opportunities, conduct primary due diligence on individuals, companies, and specific projects, and assist in the execution of investment and business strategies. This hands-on experience and capacity to act as a catalyst for value creation are what make Rodman Energy one of the preeminent energy-focused investment specialists in North America. Rodman Energy Management and Members As of November 2008, Rodman had four Managing Directors, Cameron O. Smith, William E. Weidner, Lane W. McKay, and T. Prescott (Scott) Kessey, two Vice Presidents, Emilie Sydney-Smith and Scott Edwards, and two Associates, James M. Masters and Craig M.I. Campbell. Brief descriptions of the principal mandates of all personnel are set out below, followed by more detailed discussion of their personal backgrounds and qualifications. Rodman Energy Personnel—Principal Mandates Cameron Smith, Senior Managing Director of Rodman & Renshaw, LLC and Head of The Rodman Energy Group. For Rodman Energy, whose creation he spearheaded in June 2008 through the sale of COSCO to Rodman & Renshaw, Mr. Smith is responsible for executive direction, selection of all public and private energy financing mandates, and client development. Mr. Smith founded COSCO in 1992 and helped establish it as perhaps the foremost advisor and agent in North America for Private Placement financings for private energy companies. Prior to COSCO, Mr. Smith ran various private oil and gas companies in Tulsa and Calgary Alberta, which he had originally formed while working for his family’s energy consulting company, The Catawba Corporation. Mr. Smith he joined Catawba in 1975, after receiving his MSc in Geology from Penn State University. From the 1940s through the 1970s, Catawba was affiliated with seven publicly traded E&P and mining companies based in Venezuela, Canada, Australia, and the US, all of which had been established by Mr. Smith’s grandfather, father, or uncles, all members of the extended family of the late Wm. F. Buckley, Sr. The Buckley Family has been identified since the beginning of the Twentieth Century with the international oil business and since 1921 with New York City, itself, James Buckley having served New York as US Senator from 1970-76 and William F. Buckley, Jr. having run for Mayor in 1966. Bill Weidner, Rodman’s second-most senior Managing Director, splits his time between Houston and his office in the Hartford area. Mr. Weidner, like Mr. Smith, is a reformed geologist. He also, however, has an exceptionally strong background in commercial and mezzanine debt, having been a principal provider of both for almost a decade during the 1990’s. Mr. Weidner uses this experience on behalf of Rodman Energy clients for which debt is particularly applicable. Mr. Weidner also focuses on Rodman Energy’s equity clients principally in the southern half of the United States and services many of its buy-side engagements. Lane McKay, Managing Director, is in charge of Rodman Energy’s Calgary office and is responsible for Canadian client development and management, as well as liaison with Canadian Private Capital sources, whether for Canadian or U.S. clients. He also uses his extraordinary experience in mergers and acquisitions on behalf of Rodman Energy’s M&A clients. Scott Kessey, Managing Director, manages Rodman Energy’s Houston office. With a decade’s experience in the oil industry in various financial roles, Mr. Kessey handles most of Rodman’s client development and financing services in the Texas vicinity. Mr. Kessey also focuses heavily on Rodman Energy’s debt mandates, and his background in services often results in his leading engagements in this area. Emilie Sydney-Smith, Senior Vice President, based in the New York office, is an Australian citizen with energy industry experience in both Australia and the US. With her international background and extensive contacts throughout the energy industry, Ms. Sydney-Smith is charged principally with developing Rodman Energy’s international opportunities, as well as assisting existing clients to prepare for and satisfy their financing requirements. Scott Edwards, Vice President, is currently based in New York, but plans to relocate to Rodman Energy’s Houston office, come the first of 2009. Mr. Edwards, a native Houstonian, has been in the investment banking business for the past __years. Mr. Edwards is charged with originating and executing corporate finance transactions, including mergers, acquisitions, and equity and debt financings for public and private companies in the energy sector. James Masters, Associate, based in New York, was born in Calgary and raised in Denver, as a member of an oil family. He is tasked with client development, due diligence, and coordinating the marketing process, primarily for private equity mandates. Mr. Masters is also responsible for the publication of the semi-annual Private Capital for Energy Index Report. Rodman Energy, Canada Personnel—Principal Mandates Lane McKay, Managing Director(see above) Craig M.I. Campbell, Associate, is primarily focused on identifying and securing financing mandates from public energy companies deserving of growth capital. Mr. Campbell is also responsible for profiling private energy companies and performing financial analysis and due diligence on existing as well as potential, Canadian clients. |
